The website located at www.babcpnw.org (the “Site”) is a copyrighted work belonging to British-American Business Connections, dba British-American Business Council – PNW, (“BABC-PNW”) a State of Washington nonprofit association.

These Terms of Use (the “Terms”) create a legal document between you and BABC-PNW that governs your use of the Site. BABC-PNW’s Privacy Policy be found on the Site, or at https://www.babcpnw.org/privacypolicy, and provides our practices regarding the personal information we collect from users. By accessing any portion of the Site, you are agreeing that you have read, understand, and agree to abide by these Terms and our Privacy Policy.

BABC-PNW may change, add, or remove portions of these Terms at any time, which shall become effective immediately upon posting. It is your responsibility to review these Terms prior to each use of the Site and by continuing to use this Site, you agree to any changes.

Access to the Site. 

 

Subject to these terms, BABC-PNW grants you a non-transferable, non-exclusive, revocable, limited personal license to access, view, download, and print information from the Site solely for noncommercial and informational purposes.

Password & Security. 

 

BABC-PNW may make certain services available to individuals who register on the Site ("Members") and general visitors to the Site who do not register ("Visitors") (Members and Visitors are collectively referred to as "Users"). Members are responsible for maintaining security and control over any information provided for the Site. BABC-PNW reserves the right to deactivate a member account for non-payment or cancellation of membership. After your account is terminated or deactivated, BABC-PNW has no obligation to retain, store, or provide you with any data, information, e-mail, or other content that you uploaded, stored, transferred, sent, mailed, received, forwarded, posted or otherwise provide to us. We also have no obligation to remove any public data, content, or other information that you posted or reactivate your account.

 

Copyright.

 

Excluding any User Content that you may provide, you are aware that all copyright and any other intellectual property rights in the Site and its content are owned by BABC-PNW. BABC-PNW and its suppliers reserve all rights not granted in these Terms. You may not modify the Site information in any way, and you may not remove or obscure any copyright or permission notices provided on or in connection with any information from the Site.

Advertising.

 

BABC-PNW may offer certain advertising products through the Site or other Services. By submitting advertisements and/or any advertising content to us, you agree to the Terms and Privacy Policy. You are responsible for all content submitted to us in connection with your advertisement, including liability for harm caused by such statements or materials. By submitting the material, you represent to BABC-PNW that the content (a) does not include any unfair or deceptive advertising or marketing practices in violation of federal or state consumer protection laws, (b) is not posted with any discriminatory purpose, and (c) does not otherwise violate any applicable local, state, national, or international law. You agree to notify us in writing as soon as practicable if you discover any violation of this provision. You have the responsibility to obtain any required copyright or trademark clearances, consents, or authorizations for all content contained in the advertising content that you submit. BABC-PNW has the right (but not the obligation) in its sole discretion to reject, delete, edit, or otherwise remove any advertisement or any portion of the content for any reason, including but not limited to (a) if BABC-PNW reasonably believes that the content of the advertisement violates any term of the Terms or Privacy Policy (b) if BABC-PNW receives notice from a third party that such content violates the rights of such third party, including but not limited to any notice submitted pursuant to the Digital Millennium Copyright Act. By submitting an advertisement, you are compliant with any agreed-upon payments for promotional services provided by BABC-PNW to post the advertising content to the Site, according to any negotiated fees or costs. Your payment information may be submitted to a third-party agent for processing. BABC-PNW expressly disclaims any further warranty or liability for the transaction or the manner in which your information is handled by such third party. Without limiting any other provision of these Terms and Conditions, if you have a dispute with any users of the Site (whether related to an advertisement or any other content linked to, posted, or otherwise made available through the Site), you agree to release BABC-PNW and its directors, officers, employees, contractors, and agents from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

Prohibited Uses.

 

You agree not to use the Site in violation of any applicable law. Without limiting the foregoing, you will not use the Site to violate any third-party right, to upload, transmit, or distribute to or through the Site any software intended to damage or alter a computer system or data; to send through the Site any defamatory materials or unsolicited messages; to use the Site to harvest, collect, gather or assemble information or data regarding other users without their consent; to attempt to gain unauthorized access to the Site; or to harass or interfere with any other user’s use and enjoyment of the Site.

Third-Party Links.

 

The Site may contain hyperlinks to third-party websites and services (“Third-Party Links”). Such Third-Party Links are not under the control of BABC-PNW, and you use all Third-Party Links at your own risk. BABC-PNW provides access to these Third-Party Links only as a convenience to you and does not review, endorse, or make any representations with respect to Third-Party Links. Please review the applicable third party’s terms and policies prior to clicking through to their website.

 

Warranties.

 

The Site is distributed on an "as is" basis without representations or warranties of any kind, either express or (to the maximum extent permitted by law) implied, including, without limitation, warranties of title or implied warranties of merchantability or fitness for a particular purpose. You hereby acknowledge that use of the site is at your sole risk.

Limitation on Liability. 

 

To the maximum extent permitted by law, in no event shall BABC-PNW or our members, directors, officers, contractors, staff, volunteers, or agents be liable to you or any third-party for any lost profits, lost data, costs of procurement of substitute products, or any indirect, consequential, exemplary, incidental, special or punitive damages arising from or relating to these Terms or your use of, or incapability to use the Site even if BABC-PNW has been advised of the possibility of such damages. Access to and use of the Site is at your own discretion and risk, and you will be solely responsible for any damage to your device or computer system, or loss of data resulting therefrom.

 

Indemnification.

 

You agree to indemnify and hold BABC-PNW, its members, directors, officers, contractors, staff, volunteers, and agents from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

Dispute Resolution.

 

These Terms shall be governed in all respects by Washington law, excluding any conflict of laws principles that would require the application of the laws of another jurisdiction. The parties hereby submit to the personal jurisdiction of the state and federal courts in the State of Washington.

Validity.

 

If any provision of this these Terms is held to be invalid or unenforceable by any court of competent jurisdiction, such provision will be deemed modified so as to be valid and enforceable to the greatest extent possible under applicable law, and the validity of the remaining provisions hereof shall not be affected thereby.

BABC-PNW CHAPTER MEMBERSHIP

​

Dues.

​

BABC-PNW membership dues are renewed yearly, on calendar year, and payment is required to activate membership annually. BABC-PNW will bill member for dues in advance by email invoice, and payment will be due per the due date as indicated on invoice. New memberships may also be purchased directly from www.babcpnw.org (the “Site”), which will initiate an online payment through a third-party payment portal for the selected membership. Such information is subject to our Privacy Policy, and BABC-PNW disclaims any further warranty or liability for the transaction or the manner in which your information is handled by such third party.

 

Periodically, BABC-PNW offers and applies special discounts on annual memberships. These discounted rates will be charged as applied during sign-up (for new members) or as invoiced (for renewing members). Members agree to pay the annual or pro-rated fees (per special discounts applied) established for its specified membership. Membership fees may be amended from time to time to meet with new/updated requirements for membership. BABC-PNW makes all efforts to ensure satisfaction with membership purchases. Refunds for a membership will be provided within 10 business days of the payment for a new or renewing member. After 10 business days, refunds for membership will be at the discretion of BABC-PNW. Request for membership refunds must be emailed to membership@babcpnw.org. Memberships can be cancelled at any time by requesting such cancellation in an email to membership@babcpnw.org. Any membership cancellations that take place more than 10 days after a new purchase or renewal of a membership will not receive any refunds, however all membership-related listings, benefits, and values will be cancelled, unless otherwise agreed by BABC-PNW and member. BABC-PNW reserves the right to terminate a member. If BABC-PNW terminates a member, member will be offered a refund consistent with, and reflective of, benefits received prior to termination, which may include a pro-rated amount refunded. BABC-PNW reserves the right to (i) suspend participation of Member if it fails to pay its annual fees on time, or (ii) suspend or cancel participation of Member if it violates any of the BABC-PNW Terms and Conditions or engages in conduct seriously prejudicial to the purposes and interests of BABC-PNW. No refunds of Membership fees or other payments will be given under this circumstance.

 

Online inquiries.

 

BABC-PNW accepts membership inquiries online. These inquiries require that interested parties provide private and personal information as part of the inquiry process for membership within British-American Business.

 

Members area/database.

 

Members registered with BABC-PNW receive enhanced services and functionality on our site within the Members Area of the BABC-PNW website. To become a registrant of the Members Area, we use information derived from our own internal membership records. Available to members exclusively is an online database. This database discloses information about our membership, some of which may be considered private. Disclosure of this information is not made to third parties without prior consent, and every effort is made to ensure that the information is held securely and in a manner that limits the threat of disclosure to parties beyond our control. Members are urged to report disclosure or use of this information in an inappropriate manner by members or outside parties immediately to BABC-PNW. Due to technology limits, BABC-PNW notifies all members through this policy that it is not a certainty that information contained within the online membership database will be kept from disclosure to outside parties and thus BABC-PNW limits itself from liability from disclosure of information from this database that falls outside of reasonable control.

 

Information contained within the database is updated on an as-needed and on-demand basis. Inaccuracies should be reported to BABC-PNW so that corrections can be made to satisfaction. To request certain information contained within the online membership database not be made available to other members please contact BABC-PNW at membership@babcpnw.org and request the information be removed.

 

BABC Network.

 

BABC-PNW is a member of the BABC Network, which includes 24 individual chapters spread throughout North America, the UK, and Canada. These chapters build and maintain their own websites for interaction with general visitors as well as their individual membership. BABC-PNW periodically links to these chapters and shares relevant content. BABC-PNW is not responsible for the content, accuracy, and usability of the individual chapter websites. The BABC-PNW Terms and Conditions and Privacy Policy does not extend to any chapter website under any circumstances. Individual chapters of the BABC Network may disclose their own operating and privacy policies on their independent websites on a case by case basis.
